These Website Terms of Use ("Terms") govern your access to and use of the public-facing duely marketing website (the "Website"). By accessing, browsing, or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Please note: These Terms apply to visitors of the public Website. If you are a registered Subscriber (Firm) accessing the duely application portal to perform AML/CTF compliance work, your use of the application is governed separately by the Master Subscription Agreement (MSA).

1. Informational Purposes Only (Not Legal or Compliance Advice)

The content on the Website, including blog posts, industry updates, feature descriptions, and regulatory summaries, is provided for general informational and marketing purposes only.

  • It does not constitute legal advice, accounting advice, or formal compliance advice.
  • While we aim to keep our content about Australian AML/CTF regulations current, we make no representation or warranty as to its accuracy, completeness, or applicability to your specific operational context.
  • You should consult qualified legal counsel or a dedicated AML Compliance Officer (AMLCO) before making decisions based on Website content.

2. Intellectual Property Rights

Unless otherwise stated, duely and its licensors own all intellectual property rights in the Website and its content, features, and functionality.

  • This includes text, graphics, logos, icons, images, audio clips, digital downloads, and structural layouts.
  • You may view, download, and print pages from the Website for your own personal and non-commercial informational use, subject to the restrictions in these Terms.
  • You must not republish, sell, rent, reproduce, duplicate, or commercially exploit any material from the Website without our prior written consent.

3. Acceptable Website Use

When visiting the Website, you agree not to:

  • use the Website in any way that causes, or may cause, damage to the Website or impairment of its availability or accessibility;
  • use the Website in any way which is unlawful, illegal, fraudulent, or harmful;
  • engage in data mining, data harvesting, data extracting, or any similar activity in relation to the Website; or
  • use any automated system (including bots, scrapers, or crawlers) to access the Website other than for the operation of public search engines.

4. Third-Party Links

The Website may contain links to third-party websites or services that are not owned or controlled by duely (for example, links to AUSTRAC publications or the Office of the Australian Information Commissioner). duely has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website or service. You acknowledge that duely is not responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of such external content.

5. Limitation of Liability

(a) To the maximum extent permitted by law (including the Australian Consumer Law), duely excludes all representations, warranties, conditions, and terms relating to the Website that are not expressly set out in these Terms.

(b) To the maximum extent permitted by law, duely is not liable to you, whether under the law of contract, tort (including negligence), statute, equity, or otherwise, for any loss or damage arising out of or in connection with the Website, including any loss of profit, revenue, business, goodwill, data, or any indirect, consequential, special, incidental, exemplary, or punitive loss or damage.

(c) If duely is found liable to you in respect of the Website, that liability is capped at AU$100 in aggregate.

(d) Nothing in this clause limits any right that cannot be excluded under the Australian Consumer Law. Where permitted by section 64A of that Law, duely's liability for a failure to comply with a consumer guarantee in respect of the Website is limited to re-supply of the relevant information.

6. Variation of Terms

duely may revise these Terms at any time. The "Last Updated" date at the top of these Terms identifies when they were most recently changed. By continuing to use the Website after a change takes effect, you accept the revised Terms.

7. Governing Law and Jurisdiction

These Terms are governed by, and shall be interpreted in accordance with, the laws of the State of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the state and federal courts located in New South Wales for the resolution of any dispute arising under or in connection with these Terms.

8. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

9. Waiver

The failure of duely to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
